CGLQ General By-laws

In brief: The CGLQ general by-laws define the governance structure, membership categories and their rights, the functioning of the board of directors and general assembly, and the procedures for amending the statutes. These by-laws ensure transparent and democratic governance.

Nature and objectives

The CGLQ is a non-profit organization incorporated under Part III of Quebec’s Companies Act. Founded in 1992, it defends, promotes and represents the rights of LGBT communities and individuals in Quebec.

Membership categories and rights

Individual members

Any person, without distinction, can become an individual member with voting rights at the general assembly and eligibility for the board.

Organizational members

Community organizations and associations pursuing compatible objectives can become organizational members.

Honorary members

Awarded by the board for exceptional contributions to LGBT rights in Quebec.

Board of directors

Composed of 3 to 9 directors elected at the annual general assembly. Responsible for management and mission realization.

General assembly

The supreme body of the CGLQ. The AGM is held within 6 months of the fiscal year end. Notice sent at least 15 days before. Quorum: members present. Decisions by simple majority. No proxy voting.

Amendment procedures

Proposals submitted in writing 30 days before the assembly. Adoption requires two-thirds of votes cast.
